Terms of Service

Important: Thresholdy provides estimates and tools to help you understand your VAT position. It does not constitute tax advice. You should confirm your VAT obligations with a qualified UK tax adviser or accountant before making any decisions based on this service.

1. About us and these terms

These Terms of Service ("Terms") govern your use of Thresholdy ("we", "us", "our"), a UK-based sole trader product operated under the domain thresholdy.co.uk.

By creating an account or using the service, you agree to these Terms. If you do not agree, do not use Thresholdy. These Terms are governed by the laws of England and Wales.

2. The service

Thresholdy is a SaaS tool that helps UK-based digital creators track their rolling 12-month turnover against the £90,000 HMRC VAT registration threshold, estimate VAT liability by customer location, and generate supporting reports.

The service currently includes:

  • Connection to your Stripe account via a restricted API key to read transaction data
  • Rolling 12-month VAT threshold tracking and dashboard
  • UK and EU VAT liability estimates using destination-country tax rates
  • CSV export of transaction data
  • Free VAT threshold calculator (no account required)

We reserve the right to modify, suspend, or discontinue any feature of the service at any time. Where reasonably practicable, we will give registered users advance notice of material changes.

3. Accounts and eligibility

To use Thresholdy you must:

  • Be at least 18 years old
  • Be a UK-based individual or business (the service is designed for UK VAT obligations)
  • Provide accurate information when creating your account
  • Keep your login credentials confidential and not share them with others

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorised access.

4. Stripe API key

To use the dashboard features, you provide a Stripe restricted API key. By doing so, you confirm that:

  • You own or are authorised to use the Stripe account associated with that key
  • The key has only the read permissions required (charges:read, balance:read)
  • You accept sole responsibility for ensuring the key permissions are correctly scoped

We store your API key encrypted at rest and never return it to the client or share it with third parties. You can revoke or replace your key at any time from Settings.

5. Subscription and payment

Thresholdy is available as a monthly subscription at £29/month. All new accounts begin with a 7-day free trial. A valid payment method is required at sign-up; you will not be charged until the trial period ends.

Subscriptions auto-renew monthly unless cancelled before the renewal date. You may cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period — you retain access until that date and will not receive a refund for any unused portion of the period.

All payments are processed by Stripe and are subject to Stripe's terms of service. In the event of a failed payment, we will attempt to retry the charge. If payment cannot be collected, your access may be suspended until payment is resolved.

We reserve the right to change our pricing. Where we increase the price of an existing plan, we will give registered users at least 30 days' notice by email before the new price takes effect.

6. No tax advice

Thresholdy provides estimates only. All figures, threshold calculations, VAT liability estimates, and projected dates are indicative and based on the data you provide or import. They do not constitute tax advice and should not be relied upon as such.

VAT obligations depend on your specific circumstances, the nature of your supplies, your place of establishment, and the applicable rules at the time. Always confirm your obligations with a qualified UK tax adviser or chartered accountant before taking action.

We are not liable for any tax liability, penalty, interest, or other consequence arising from your reliance on figures produced by this service.

7. Acceptable use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable regulation
  • Attempt to gain unauthorised access to any part of the service or its infrastructure
  • Upload or transmit malicious code, or attempt to interfere with service availability
  • Use automated means to scrape, extract, or bulk-query data from the service
  • Resell, sublicense, or otherwise make the service available to third parties without our written consent
  • Misrepresent your identity or affiliation in connection with the service

8. Intellectual property

All software, design, text, and content in the service is owned by or licensed to us and protected by applicable intellectual property law. You may not copy, reverse engineer, or create derivative works from the service without our written permission.

Your data (transaction records, settings) remains yours. We claim no ownership over it and will return or delete it on request.

9. Limitation of liability

To the maximum extent permitted by law, we exclude all liability for indirect, incidental, special, or consequential losses, including loss of profit, loss of data, or business interruption, arising from your use of Thresholdy.

Our total liability to you for any direct losses shall not exceed the total amount you paid to us in the 12 months preceding the event giving rise to the claim, or £100 if no fees have been paid.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

10. Service availability

We aim to provide a reliable service but do not guarantee 100% uptime. We may suspend the service for maintenance, updates, or in response to security incidents. We will endeavour to provide advance notice of planned downtime where possible.

11. Termination

You may close your account at any time from Settings. On closure, your data will be deleted within 30 days, except where retention is required by law (e.g. financial records).

We may suspend or terminate your account if you breach these Terms, with or without prior notice depending on the severity of the breach. We will aim to give notice and opportunity to remedy minor breaches.

12. Consumer rights

If you are a consumer (not using this service in the course of a business), you have statutory rights under the Consumer Rights Act 2015, including rights regarding services that are not performed with reasonable care and skill. Nothing in these Terms affects those statutory rights.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to these Terms

We may update these Terms from time to time. We will notify registered users by email of any material changes at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
